Terms and Conditions

for Software Development Services by Ailaban Solutions

1. Project Commencement

The software development project will officially begin only after a 30% advance payment of the total project cost is received and confirmed by Ailaban Solutions. This advance is required before any work or development takes place.

2. Collection of Client Information

Ailaban Solutions collects client details, including personal and business information, for internal purposes only, including but not limited to project management, customer service, and billing. We respect your privacy and will protect your information in accordance with our privacy policy.

3. Software Usage Rights

The developed software is licensed for use exclusively on our hosting portal. You are permitted to use the software only through Ailaban Solutions' hosting services. The software cannot be transferred or used on any other hosting platform without written consent from Ailaban Solutions.

4. Source Code Confidentiality

The source code for the software developed will remain the sole property of Ailaban Solutions and will not be shared with the Client unless specifically agreed upon in writing. If the Client wishes to acquire the source code, the fee will be 100,000 or an amount as determined by Ailaban Solutions at the time of the request. This fee must be paid in full before the source code is released.

5. Advance Payment is Non-Refundable

The 30% advance payment is non-refundable under any circumstances. It is a commitment to begin the project and covers initial planning, research, and other preparatory work undertaken by Ailaban Solutions.

6. Refund Policy (70% of Payment)

If the Client wishes to cancel the project after development has started, a refund of up to 70% of the total project amount will be provided, subject to the following conditions:

7. Software Access and Restrictions

The developed software can be accessed from any location without restrictions. However, access may be subject to country-based restrictions depending on the domain purchased for the hosting.

8. Hosting and User Limitations

If the software is to support a large number of users, the Client may need to upgrade their hosting services with Ailaban Solutions to ensure optimal performance. Additional charges may apply for upgraded hosting plans.

9. Post-Release Changes and AMC (Annual Maintenance Contract)

If the Client does not opt for an Annual Maintenance Contract (AMC) after the software is released, any changes, updates, or modifications required after the release will be charged on a pay-per-service basis.

10. Limitation of Liability

Ailaban Solutions shall not be held responsible for any losses, damages, or issues arising from the use of the developed software, including but not limited to operational errors, downtime, or other system failures. The Client agrees to indemnify Ailaban Solutions against any claims or legal actions related to the use of the software.

11. Termination

Ailaban Solutions reserves the right to terminate the agreement in the event of non-payment, breach of these terms, or any other failure to meet contractual obligations. In case of termination, any work done will be billed according to the terms outlined, and no refund will be provided.

12. Ownership of Deliverables

The Client acknowledges that upon full payment, they acquire a license to use the software according to the terms outlined herein. Ownership of the intellectual property, including code, design, and any related materials, remains with Ailaban Solutions unless otherwise agreed in writing.

13. Dispute Resolution

In the event of any dispute arising from the use of Ailaban Solutions' services or these terms, the matter will be resolved through amicable negotiation. If a resolution cannot be reached, both parties agree to resolve the dispute through binding arbitration in the jurisdiction of Ailaban Solutions' registered office.

14. Governing Law

These terms and conditions are governed by the laws of the country in which Ailaban Solutions is registered and any disputes will be subject to the exclusive jurisdiction of the courts in that country.
